4. Consultation Agreement

7. Intellectual Property
All intellectual property developed during the course of our services shall remain the property of Sylicon unless otherwise agreed upon in writing. Clients may not reproduce or distribute any materials provided without prior written consent.
8. Limitation of Liability
Sylicon’s liability for any claim arising out of or relating to these terms or the services provided shall be limited to the total fees paid by the client for the services. In no event shall Sylicon be liable for any indirect, incidental, or consequential damages.
9. Dispute Resolution
In the event of any dispute arising out of or relating to these terms or the services, both parties agree to first attempt to resolve the dispute informally. If informal resolution is unsuccessful, the dispute shall be settled by binding arbitration in accordance with applicable arbitration rules.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Sylicon operates, without regard to its conflict of law principles.
11. Termination
Both parties have the right to terminate the consulting agreement by providing written notice to the other party. In the event of termination, the client will remain responsible for paying for services rendered up to the date of termination.
12. Entire Agreement
These Terms of Service, together with any separate consultation agreements, constitute the entire agreement between the client and Sylicon regarding the services provided and supersede all prior agreements and understandings.
13. No Waiver
The failure of Sylicon to enforce any right or provision of these terms shall not be deemed a waiver of such right or provision.
14. Severability
If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law.
